These Terms & Conditions ("Terms") govern your access to and use of our website located at abllconsulting.com (the "Website") and any professional consulting services we provide. By using the Website or engaging our services, you accept and agree to be bound by these Terms.

1. Acceptance of Terms

By accessing the Website, submitting an inquiry, or entering into a Consulting Agreement with Abll Consulting, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the Website or our services.

Each engagement is governed by a separate written Consulting Agreement that defines the specific scope, deliverables, timelines, fees, and obligations of both parties. In the event of any conflict between these Terms and a Consulting Agreement, the terms of the Consulting Agreement shall govern.

5.1 Quotations & Proposals

All consulting engagements begin with a no-cost discovery consultation, followed by a written proposal outlining scope, deliverables, timeline, and fees. Work commences only after the client has signed the proposal or Consulting Agreement.

5.2 Pricing

Fees are quoted on a project, retainer, or hourly basis, as specified in the executed Consulting Agreement. All fees are stated and payable in U.S. Dollars (USD). Prices on the Website (where applicable) are subject to change without notice.

5.3 Payment Methods

We accept payment by credit card (Visa, Mastercard, American Express), ACH transfer, wire transfer, and business check. Credit card processing is handled by a third-party PCI-compliant payment processor.

5.4 Invoicing & Payment Terms

Unless otherwise specified in a Consulting Agreement, invoices are issued monthly and are due Net 15 from the invoice date. Past-due balances may accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum permitted by law, whichever is lower.

5.5 Refund & Cancellation Policy

Because our services are bespoke and time-intensive, fees for work already performed are non-refundable. Either party may terminate an active engagement with fifteen (15) days' written notice; the client remains responsible for fees for work performed up to the effective termination date plus any non-cancellable third-party costs incurred. Specific cancellation terms may be modified by the executed Consulting Agreement.

6. Confidentiality

Abll Consulting treats all client information shared during an engagement as confidential. We will not disclose client confidential information to third parties without written consent, except as required by law. Detailed confidentiality terms are addressed in each Consulting Agreement and, where applicable, in a separate Non-Disclosure Agreement.

7. Intellectual Property

7.1 Website Content

All content on the Website — including text, graphics, logos, images, and software — is the property of Abll Consulting Inc. or its licensors and is protected by United States and international copyright and trademark laws. You may not reproduce, modify, distribute, or republish any content without our prior written consent.

7.2 Deliverables

Ownership of deliverables produced during an engagement is governed by the executed Consulting Agreement. Unless otherwise stated, Abll Consulting retains ownership of pre-existing methodologies, frameworks, and proprietary tools used to produce deliverables.

8. Disclaimer of Warranties

The Website and any information provided through it are made available on an "as is" and "as available" basis. To the fullest extent permitted by law, Abll Consulting disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Consulting recommendations are professional opinions based on the information provided by the client. Outcomes depend on numerous factors outside our control, including market conditions and client execution. We do not guarantee specific financial or business results.

9. Limitation of Liability

To the fullest extent permitted by law, Abll Consulting Inc., its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost revenue, arising out of or relating to the use of the Website or our services. Our total aggregate liability for any claim relating to an engagement shall not exceed the fees actually paid by the client for the services giving rise to the claim during the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Abll Consulting Inc., its officers, employees, and affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the Website or services.

11. Third-Party Services & Links

The Website may contain links to third-party websites or services. We do not endorse and are not responsible for the content, accuracy, or practices of any third-party websites. Your use of such third-party sites is at your own risk.

12. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them, the Website, or our services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. The parties agree that the exclusive jurisdiction and venue for any dispute shall be the state and federal courts located in Los Angeles County, California.

The parties agree to first attempt to resolve any dispute through good-faith negotiation before initiating any formal proceeding.

13. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a new "Last Updated" date. Continued use of the Website after changes constitutes your acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any executed Consulting Agreement, constitute the entire agreement between you and Abll Consulting Inc. regarding the use of the Website and our services.
